ওয়েবসাইট ব্যবহারের সাধারণ শর্তাবলী

এই ওয়েবসাইটগুলি ("শর্তাবলী") তথ্য প্রযুক্তি (মধ্যস্থকারী নির্দেশিকা) বিধিমালা, 2011-এর বিধি 3(1) এর বিধান অনুসারে প্রকাশিত হয়েছে৷ এই শর্তাদি হল একটি 'ইলেক্ট্রনিক রেকর্ড' যা ধারা 2(t) এর অধীনে বিবেচনা করা হয়েছে৷ তথ্য প্রযুক্তি আইন, 2000 এবং এর অধীন বিধি। এই শর্তাবলী একটি ইলেকট্রনিক রেকর্ড হচ্ছে একটি কম্পিউটার সিস্টেম দ্বারা উত্পন্ন হয় এবং কোন শারীরিক বা ডিজিটাল স্বাক্ষরের প্রয়োজন হয় না।

সূচনা

www.sodaimart.com ("SodaiMart") ওয়েবসাইটটি কোম্পানি আইন, 2011 ("SodaiMart") এর অধীনে অন্তর্ভুক্ত একটি কোম্পানি SALEHIN INTERNATIONAL দ্বারা পরিচালিত হয় যার নিবন্ধিত অফিস রয়েছে৷ বাড়ি :22/35, কোনাপাড়া রোড: শহিদ অলি রোড, মান্দিবাড়ি, যাত্রাবাড়ী ঢাকা-1362 ওয়েবসাইটের ব্যবহার এবং এর পরিষেবাগুলি এই ব্যবহারের শর্তাবলী ("শর্তাবলী") দ্বারা পরিচালিত হয়৷

ওয়েবসাইট ব্যবহার করে, ব্যবহারকারীরা ইঙ্গিত করে যে তারা সাবধানে পড়েছেন, বুঝেছেন এবং এই শর্তাবলী দ্বারা আবদ্ধ হতে সম্মত হয়েছেন। যখন ব্যবহারকারীরা ওয়েবসাইটের মাধ্যমে লেনদেন বা ব্রাউজ করেন বা ওয়েবসাইট দ্বারা প্রদত্ত যেকোন পরিষেবা গ্রহণ করেন, বর্তমান বা ভবিষ্যতে, ব্যবহারকারীরা এই শর্তাবলী, নীতি, নির্দেশিকা এবং SodaiMart-এর পরিষেবার শর্তাবলী মেনে চলতে সম্মত হন।

এই শর্তাবলী SodaiMart দ্বারা পরিবর্তন, পরিবর্তিত, সম্পাদনা, সংশোধন, পরিমার্জিত, পর্যালোচনা, সংশোধিত বা প্রতিস্থাপিত হতে পারে যেকোন সময় পূর্ব বিজ্ঞপ্তি দিয়ে বা ছাড়াই এবং ব্যবহারকারীদের ওয়েবসাইটটি ব্যবহার বা অ্যাক্সেস করার আগে শর্তাবলী পড়তে অনুরোধ করা হয়।

২. প্ল্যাটফর্ম পরিষেবা

ওয়েবসাইটটি একটি প্ল্যাটফর্ম যা ব্যবহারকারীরা একে অপরের সাথে যোগাযোগ এবং লেনদেনের জন্য ব্যবহার করে। SodaiMart ওয়েবসাইটের ব্যবহারকারীদের মধ্যে যেকোনো লেনদেনের পক্ষ হতে বা নিয়ন্ত্রণ করতে পারে না। ওয়েবসাইটে পণ্য বা পরিষেবার ক্রয় বিক্রয়ের শর্তাবলী দ্বারা নিয়ন্ত্রিত হয়।

ওয়েবসাইটটি শুধুমাত্র একটি প্ল্যাটফর্ম যা ব্যবহারকারীরা পণ্য ক্রয় এবং বিক্রয়ের জন্য একটি বৃহত্তর বেসে পৌঁছানোর জন্য ব্যবহার করতে পারেন। SodaiMart শুধুমাত্র যোগাযোগের জন্য একটি প্ল্যাটফর্ম প্রদান করছে এবং পণ্য বিক্রির চুক্তিটি ক্রেতা এবং বিক্রেতার মধ্যে একটি কঠোরভাবে দ্বিপক্ষীয় চুক্তি হবে। SodaiMart কোনো সময়েই পণ্যের ওপর কোনো অধিকার, শিরোনাম বা স্বার্থ ধারণ করবে না বা ক্রেতা ও বিক্রেতার মধ্যে এই ধরনের দ্বিপক্ষীয় চুক্তির ক্ষেত্রে কোনো বাধ্যবাধকতা বা দায়বদ্ধতা থাকবে না।

ব্যবহারকারীরা ওয়েবসাইটের অনলাইন প্ল্যাটফর্মে বিক্রয়ের জন্য দেওয়া তাদের পণ্যের ছবি এবং তথ্য আপলোড এবং প্রদর্শন করতে পারে। ওয়েবসাইটে ব্যবহারকারীর পণ্য বা সম্পর্কিত তথ্যের এই ধরনের প্রদর্শনকে SodaiMart-এর দ্বারা এই ধরনের পণ্যের অনুমোদন বা বিজ্ঞাপন হিসাবে বিবেচনা করা বা বোঝানো যাবে না।

ওয়েবসাইটের অনলাইন প্ল্যাটফর্মের মাধ্যমে একটি নির্দিষ্ট পরিষেবার বিধান ব্যবহারকারীদের কিছু অতিরিক্ত শর্তাবলী, নিয়ম, নীতি, পদ্ধতি, নির্দেশিকা, দাবিত্যাগ, নোটিশ বা অন্যথায়, যদি থাকে, এই ধরনের পরিষেবার ক্ষেত্রে প্রযোজ্য হিসাবে সম্মত এবং সম্মতি দেওয়া হবে ("অতিরিক্ত শর্তাবলী“) এবং ব্যবহারের শর্তাবলী এবং অতিরিক্ত শর্তাবলীর মধ্যে কোনো বিরোধ থাকলে, সেই নির্দিষ্ট পরিষেবার ক্ষেত্রে অতিরিক্ত শর্তাবলী অগ্রাধিকার পাবে।

III. যোগ্যতা

ব্যবহারকারীর বয়স ১৮ বছর পূর্ণ হতে হবে এবং বাংলাদেশ চুক্তি আইনের অধীনে চুক্তিতে প্রবেশ করতে সক্ষম হতে হবে। 18 বছরের কম বয়সী যেকোন ব্যবহারকারী যে ওয়েবসাইটের পরিষেবাগুলি পেতে ইচ্ছুক তাদের প্রযোজ্য আইন অনুসারে তার আইনি অভিভাবকের মাধ্যমে তা করা উচিত।

যদি কোনো ব্যক্তি কোনো কর্পোরেশন, কোম্পানি, প্রতিষ্ঠান, সমিতি বা অন্য সত্তার হয়ে ওয়েবসাইটটি ব্যবহার করে থাকেন, তাহলে সেই ব্যক্তিকে এই ধরনের কর্পোরেশন, কোম্পানি, প্রতিষ্ঠান, অ্যাসোসিয়েশন বা অন্যান্য সত্তার দ্বারা ওয়েবসাইটটি ব্যবহার এবং অ্যাক্সেস করার জন্য অনুমোদিত হতে হবে।

SodaiMart নতুন ব্যবহারকারীদের ওয়েবসাইটে প্রদত্ত পরিষেবাগুলি ব্যবহার করার জন্য অ্যাক্সেস অস্বীকার করার অধিকার সংরক্ষণ করে বা এটি করার কোনও কারণ ছাড়াই যে কোনও সময় বিদ্যমান ব্যবহারকারীদের দেওয়া অ্যাক্সেস বাতিল করার অধিকার রাখে।
IV ব্যবহারকারীর অ্যাকাউন্ট

ব্যবহারকারী SodaiMart এর সাথে নিবন্ধন না করেই ওয়েবসাইট ব্রাউজ করতে পারে। ওয়েবসাইটের মাধ্যমে প্রদত্ত অনলাইন পরিষেবাগুলি গ্রহণ করার আগে ব্যবহারকারীকে ওয়েবসাইটের সাথে একটি অ্যাকাউন্ট সেট আপ করতে হবে। ব্যবহারকারী একটি ইমেল ঠিকানা এবং পাসওয়ার্ড লিখে বা সাইন ইন করার জন্য অনুমোদিত সামাজিক মিডিয়া ওয়েবসাইট অ্যাকাউন্ট ব্যবহার করে একটি অ্যাকাউন্ট তৈরি করতে পারেন ("অ্যাকাউন্ট তথ্য")। প্রদত্ত ইমেল ঠিকানা SodaiMart দ্বারা যাচাই করা হয় না এবং তাই, ব্যবহারকারীর জন্য একটি বৈধ ইমেল ঠিকানা প্রদান করার পরামর্শ দেওয়া হয়। ওয়েবসাইটটি একটি অ্যাকাউন্ট সেট আপ করবে এবং প্রদত্ত ইমেল ঠিকানায় ব্যবহারকারীকে অ্যাকাউন্টের বিশদ ইমেল করবে। তারপরে একজন ব্যবহারকারী ওয়েবসাইটের অ্যাকাউন্ট অ্যাক্সেস করতে পারেন। একজন ব্যবহারকারী গ্রাহক সহায়তার মাধ্যমে একটি অ্যাকাউন্ট তৈরি এবং আপডেট করতে পারেন

একজন ব্যবহারকারী শুধুমাত্র একটি ব্যবহারকারীর অ্যাকাউন্ট তৈরি করতে পারে এবং কোনও ব্যবহারকারীকে ব্যবহারকারীর অ্যাকাউন্ট স্থানান্তর বা বিনিময় করার অনুমতি দেওয়া হয় না। ব্যবহারকারীর দ্বারা সরবরাহ করা আবশ্যক ব্যবহারকারীর তথ্যের তালিকা, ব্যবহারের পদ্ধতি, ব্যবহারকারীর তথ্যের সুরক্ষা এবং গোপনীয়তা এবং অ্যাকাউন্টের তথ্যগুলি ওয়েবসাইটের গোপনীয়তা নীতির অধীনে আরও নির্দিষ্টভাবে মোকাবেলা করা হয় এবং ব্যবহারকারীদের শেয়ার করার আগে গোপনীয়তা নীতিটি বিস্তারিতভাবে পড়ার জন্য অনুরোধ করা হয়। ব্যবহারকারীর তথ্য বা একটি অ্যাকাউন্ট তৈরি করা।

V. ব্যবহারকারীর এখতিয়ার

যদি ওয়েবসাইটটি বাংলাদেশের বাইরে থেকে ব্যবহার করা হয়, তবে এটি সম্পূর্ণরূপে ব্যবহারকারীর ঝুঁকিতে। ওয়েবসাইটটি কোন প্রতিনিধিত্ব করে না যে এর বিষয়বস্তু এবং অন্যান্য বৈশিষ্ট্যগুলি উপলব্ধ বা অন্যথায় বাংলাদেশের বাইরে ব্যবহারের জন্য উপযুক্ত, যদি ওয়েবসাইটটি বাংলাদেশের বাইরের স্থান থেকে বা সেখানে ব্যবহার করা হয় এবং অ্যাক্সেস করা হয়, তবে ব্যবহারকারী নিশ্চিত করবেন যে ওয়েবসাইটের ব্যবহার আইনি এবং বৈধ ব্যবহারকারীর অবস্থানের প্রযোজ্য আইন। বাংলাদেশের বাহিরে যে কোন স্থানে ওয়েবসাইট ব্যবহার করার ক্ষেত্রে ব্যবহারকারী প্রযোজ্য আইনের অধীনে সমস্ত দায়বদ্ধতা, দায়িত্ব এবং ফলাফল গ্রহণ করতে সম্মত হন। বাংলাদেশের বাইরের যেকোন স্থান থেকে ওয়েবসাইটটিতে প্রবেশকারী ব্যবহারকারী যেকোন সময় SodaiMart-এর দ্বারা প্রয়োজনীয় আলাদা বা অতিরিক্ত শর্তাবলীতে প্রবেশ করতে সম্মত হন এবং সম্মত হন।

VI. ব্যবহারকারী চুক্তি

ব্যবহারকারী শুধুমাত্র এই শর্তাবলী এবং কোনো প্রযোজ্য আইন দ্বারা অনুমোদিত উদ্দেশ্যে ওয়েবসাইট এবং ওয়েবসাইটে দেওয়া উপকরণ ব্যবহার করতে সম্মত হন। ব্যবহারকারী এমনভাবে ওয়েবসাইট ব্যবহার বা অ্যাক্সেস করবেন না যা ওয়েবসাইট, SodaiMart বা এর সহযোগী বা সহযোগীদের স্বার্থ এবং সদিচ্ছাকে প্রতিকূলভাবে প্রভাবিত করে।

ব্যবহারকারী সম্মত হন এবং সম্মত হন যে ওয়েবসাইটে দেওয়া বা পোস্ট করা বা আপলোড করা পর্যালোচনা, মন্তব্য এবং অন্যান্য তথ্য মিথ্যা, অসম্পূর্ণ, বিকৃত, ম্যানিপুলেটেড, প্রতারণামূলক বা বিভ্রান্তিকর নয়। উদাহরণ হিসাবে, এবং সীমাবদ্ধতা হিসাবে নয়, ব্যবহারকারী সম্মত হন এবং স্বীকার করেন যে ওয়েবসাইটটি ব্যবহার বা অ্যাক্সেস করার সময়, ব্যবহারকারী কোনও তথ্য হোস্ট, প্রদর্শন, আপলোড, পরিবর্তন, প্রেরণ, আপডেট বা শেয়ার করবেন না ("আপত্তিকর বিষয়বস্তু") যে:
১। অন্য ব্যক্তির অন্তর্গত এবং যার উপর ব্যবহারকারীর কোন অধিকার নেই,
২। মারাত্মকভাবে ক্ষতিকারক, হয়রানিমূলক, নিন্দামূলক, মানহানিকর, অশ্লীল, অশ্লীল, পেডোফিলিক, মানহানিকর, অন্যের গোপনীয়তার আক্রমণকারী, ঘৃণামূলক, বা জাতিগতভাবে, জাতিগতভাবে, আপত্তিকর, অবমাননাকর, সম্পর্কযুক্ত বা উত্সাহিত করা অর্থ পাচার বা জুয়া খেলা বা অন্য যেকোন অবৈধ উপায়ে
৩। অপ্রাপ্তবয়স্কদের যে কোনোভাবে ক্ষতি করে,
৪। কোনো পেটেন্ট, ট্রেডমার্ক, কপিরাইট বা অন্যান্য মালিকানা অধিকার লঙ্ঘন করে,
৫। আপাতত বলবৎ কোনো আইন লঙ্ঘন করে,
৬। এই ধরনের বার্তার উত্স সম্পর্কে ঠিকানা প্রদানকারীকে প্রতারণা বা বিভ্রান্ত করে বা এমন কোনও তথ্য যোগাযোগ করে, যা মারাত্মকভাবে আপত্তিকর বা ভয়ঙ্কর প্রকৃতির,
৭। অন্য ব্যক্তির নকল করা,
৮। সফ্টওয়্যার ভাইরাস বা অন্য কোনো কম্পিউটার কোড, ফাইল বা প্রোগ্রাম রয়েছে যা কোনো কম্পিউটার সংস্থানের কার্যকারিতাকে বাধা, ধ্বংস বা সীমিত করার জন্য ডিজাইন করা হয়েছে,
৯। ভারতের একতা, অখণ্ডতা, প্রতিরক্ষা, নিরাপত্তা বা সার্বভৌমত্ব, বিদেশী রাষ্ট্রের সাথে বন্ধুত্বপূর্ণ সম্পর্ক, বা জনশৃঙ্খলাকে হুমকির মুখে ফেলে বা কোনো অপরাধের জন্য উসকানি দেয় বা কোনো অপরাধের তদন্তে বাধা দেয় বা অন্য কোনো জাতিকে অপমান করে৷ ওয়েবসাইট বা এর বিষয়বস্তুর কোনো অংশ অ্যাক্সেস, অর্জন, অনুলিপি বা নিরীক্ষণের জন্য কোনো ডিপ-লিংক, রোবট, মাকড়সা বা অন্যান্য স্বয়ংক্রিয় ডিভাইস, প্রোগ্রাম, অ্যালগরিদম বা পদ্ধতি, অথবা কোনো অনুরূপ বা সমতুল্য ম্যানুয়াল প্রক্রিয়া ব্যবহার করবেন না। ওয়েবসাইট, উপকরণ বা এর বিষয়বস্তুর ন্যাভিগেশনাল কাঠামো বা উপস্থাপনাকে পুনরুত্পাদন বা বাধা দেওয়া, ওয়েবসাইটের মাধ্যমে বিশেষভাবে উপলব্ধ করা হয়নি এমন কোনও উপায়ে কোনও উপকরণ, নথি বা তথ্য প্রাপ্ত করার বা প্রাপ্ত করার চেষ্টা করা। ব্যবহারকারী অ্যাক্সেস করতে পারে না (বা অ্যাক্সেস করার চেষ্টা করতে পারে না) ) ওয়েবসাইটের মাধ্যমে প্রদান করা ইন্টারফেসের মাধ্যমে ছাড়া অন্য যেকোনো উপায়ে পরিষেবাগুলির যে কোনও একটি, যদি না ব্যবহারকারীকে SodaiMart এর সাথে একটি পৃথক চুক্তিতে এটি করার অনুমতি দেওয়া হয়। ব্যবহারকারীর এমন কিছু করা উচিত নয় যা ওয়েবসাইটের সঠিক কার্যকারিতাকে নিষ্ক্রিয়, অতিরিক্ত চাপ বা ক্ষতিগ্রস্থ করে। ব্যবহারকারীদের বিশেষভাবে সম্মত হওয়া উচিত যে তারা এমন কোনও কার্যকলাপে জড়িত হবে না যা পরিষেবাগুলি বা সার্ভার এবং নেটওয়ার্কগুলিতে হস্তক্ষেপ করে বা ব্যাহত করে যা ওয়েবসাইটের মাধ্যমে প্রদত্ত পরিষেবাগুলির সাথে সংযুক্ত।
ব্যবহারকারী ওয়েবসাইটের অংশ এমন কোনো নিরাপত্তা প্রযুক্তি বা সফ্টওয়্যারকে ফাঁকি দেওয়ার বা পরিবর্তন করার চেষ্টা না করার অঙ্গীকার করে। ব্যবহারকারী অন্য কোনো ব্যক্তিকে জড়িত বা সহায়তা না করতে, ওয়েবসাইটের অংশ এমন কোনো নিরাপত্তা প্রযুক্তি বা সফ্টওয়্যারকে ফাঁকি দিতে বা পরিবর্তন করতে সম্মত হন। ব্যবহারকারীর ওয়েবসাইটের কোনো বৈশিষ্ট্যকে অস্পষ্ট বা বাধা দেওয়া উচিত নয়। ব্যবহারকারী সোডাইমার্টের নির্দিষ্ট লিখিত অনুমতি ছাড়া ওয়েবসাইট বা এর কোনো অংশের সোর্স কোড কপি, পরিবর্তন, ডেরিভেটিভ কাজ তৈরি, রিভার্স ইঞ্জিনিয়ার, ডিকম্পাইল বা অন্যথায় বের করার চেষ্টা করবেন না।

ওয়েবসাইটটি বিক্রেতাদের দ্বারা প্রদত্ত বিক্রয়ের জন্য একাধিক পণ্য তালিকাভুক্ত করে এবং অসংখ্য ব্যবহারকারীর মন্তব্য হোস্ট করে এবং বিক্রয়ের জন্য তালিকাভুক্ত প্রতিটি পণ্যের বিষয়বস্তু বা প্রদর্শিত প্রতিটি মন্তব্য বা পর্যালোচনা সম্পর্কে সচেতন হওয়া SodaiMart-এর পক্ষে সম্ভব নয়৷ ব্যবহারকারী স্বীকার করেন এবং সম্মত হন যে ওয়েবসাইট অ্যাক্সেস বা ব্যবহার করে বা পরিষেবাগুলি গ্রহণ করার মাধ্যমে, ব্যবহারকারী এমন সামগ্রীর সংস্পর্শে আসতে পারে যা ব্যবহারকারীকে আপত্তিকর, অশালীন বা অন্যথায় আপত্তিকর বলে মনে করতে পারে। SodaiMart ওয়েবসাইটে এই ধরনের আপত্তিকর বিষয়বস্তুর ক্ষেত্রে উদ্ভূত সমস্ত দায় অস্বীকার করে। যে কোনো ব্যবহারকারী যদি এই ধরনের আপত্তিকর বিষয়বস্তুর সম্মুখে উল্লিখিত হয় তাহলে অবিলম্বে এই শর্তাবলীর অধীনে প্রদত্ত পদ্ধতিতে অভিযোগ অফিসারের কাছে রিপোর্ট করার জন্য অনুরোধ করা হয় এবং ওয়েবসাইট তদন্তের পরে যত তাড়াতাড়ি সম্ভব এই ধরনের বিষয়বস্তু অপসারণ করার চেষ্টা করবে৷ ব্যবহারকারী সম্মত হন এবং স্বীকার করেন যে SodaiMart  পণ্যের বিক্রেতা নয় এবং SodaiMart কোনোভাবেই ওয়েবসাইটে পণ্যের বিক্রেতা বলে গণ্য হবে না। SodaiMart শুধুমাত্র ওয়েবসাইট ব্যবহার এবং অ্যাক্সেস প্রদান করে বিক্রেতাদের কাছ থেকে ব্যবহারকারীর দ্বারা পণ্য ক্রয়ের সুবিধা প্রদান করে।
ব্যবহারকারী ওয়েবসাইট এবং এর পরিষেবাগুলির ব্যবহারকারীর ব্যবহার এবং অ্যাক্সেস সম্পর্কিত SodaiMart থেকে যোগাযোগ পেতে স্পষ্টভাবে সম্মত হন এবং সম্মত হন যে এই ধরনের যোগাযোগগুলি একটি অযাচিত যোগাযোগ হিসাবে বিবেচিত হবে না।

ব্যবহারকারী সম্মত হন যে SodaMart, যে কোনো সময়ে, ওয়েবসাইটটির সমস্ত বা অংশ পরিবর্তন বা বন্ধ করতে পারে, ওয়েবসাইট ব্যবহার করার জন্য প্রয়োজনীয় ফি চার্জ, পরিবর্তন বা মওকুফ করতে পারে, অথবা কিছু বা সমস্ত ওয়েবসাইট ব্যবহারকারীদের সুযোগ দিতে পারে।

VII. অবকাঠামো

ওয়েবসাইট ব্যবহার করার জন্য ব্যবহারকারীদের ইন্টারনেট সংযোগ বা উপযুক্ত টেলিযোগাযোগ লিঙ্ক প্রয়োজন এবং ওয়েবসাইটের পরিষেবাতে কোনও কম্পিউটার সিস্টেম, সংস্থান, টার্মিনাল, সার্ভার, সরঞ্জাম, মোবাইল বা কোনও ডিভাইসের বিধান অন্তর্ভুক্ত নয়। SodaiMart কোনো কম্পিউটার সিস্টেম, রিসোর্স, টার্মিনাল, সার্ভার, সরঞ্জাম, মোবাইল বা ব্যবহারকারীর ওয়েবসাইট ব্যবহার ও অ্যাক্সেস করার জন্য প্রয়োজনীয় কোনো ডিভাইসের জন্য কোনো দায়বদ্ধতা বা দায়বদ্ধতা থাকবে না এবং ব্যবহারকারীর ইন্টারনেট বা উপযুক্ত অ্যাকাউন্টের জন্য যে কোনো খরচের জন্য দায়ী থাকবে না টেলিযোগাযোগ লিঙ্ক ব্যবহার.

SodaiMart ওয়েবসাইটটি ব্যবহার করার সময় ব্যবহারকারীর কম্পিউটার সিস্টেম, রিসোর্স, টার্মিনাল, সার্ভার, সরঞ্জাম, মোবাইল বা অন্য কোনো ডিভাইসকে প্রভাবিত করতে পারে এমন ক্ষতি, ভাইরাস বা অন্যান্য কোডের জন্য দায়ী হবে না এবং SodaiMart নিশ্চিত করে না যে ওয়েবসাইটটি সবার সাথে সামঞ্জস্যপূর্ণ হবে। ব্যবহারকারী দ্বারা ব্যবহৃত হার্ডওয়্যার এবং সফ্টওয়্যার।

ব্যবহারকারী যে কোনো বিষয়বস্তু পোস্ট করে বা এটি জমা দেয়, ব্যবহারকারী SodaiMart এবং এর সহযোগীদের মঞ্জুর করে এবং এই ধরনের সামগ্রী ব্যবহার, পুনরুত্পাদন, প্রকাশ, বিতরণ এবং প্রদর্শনের জন্য একটি অ-এক্সক্লুসিভ, রয়্যালটি-মুক্ত, অপরিবর্তনীয়, চিরস্থায়ী এবং সম্পূর্ণ উপ-লাইসেন্সযোগ্য অধিকার দেয়। যে কোনো মোড মাধ্যম বা পদ্ধতিতে বিশ্বজুড়ে এখন পরিচিত বা ভবিষ্যতে উন্নত; এবং ব্যবহারকারী পছন্দ করলে এই ধরনের বিষয়বস্তুর সাথে ব্যবহারকারীর জমা দেওয়া নাম ব্যবহার করার অধিকার।

ব্যবহারকারী সম্মত হন যে ব্যবহারকারীরা উপরের মতো যে অধিকারগুলি প্রদান করে সেগুলি এই ধরনের বিষয়বস্তু এবং উপাদানের সাথে যুক্ত ব্যবহারকারীর মেধা সম্পত্তি অধিকার সুরক্ষার পুরো সময়কালে অপরিবর্তনীয়। ব্যবহারকারী এই ধরনের বিষয়বস্তু এবং সামগ্রীর লেখক হিসাবে চিহ্নিত হওয়ার ব্যবহারকারীর অধিকার এবং এই ধরনের বিষয়বস্তু বা উপাদানের অবমাননাকর আচরণের বিরুদ্ধে ব্যবহারকারীর আপত্তি করার অধিকার পরিত্যাগ করতে সম্মত হন। ব্যবহারকারী সোডাইমার্টকে ব্যবহারকারীর দ্বারা প্রদত্ত উপরোক্ত অধিকারগুলিকে নিখুঁত করার জন্য প্রয়োজনীয় সমস্ত কাজ সম্পাদন করতে এবং প্রয়োজনীয় কাজ এবং নথি সম্পাদন করতে সম্মত হন।

ব্যবহারকারী প্রতিনিধিত্ব করে এবং ওয়ারেন্টি দেয় যে ব্যবহারকারীর মালিকানা রয়েছে বা অন্যথায় ব্যবহারকারীর পোস্ট করা বিষয়বস্তু এবং উপাদানগুলির সমস্ত অধিকার নিয়ন্ত্রণ করে বা ব্যবহারকারী অন্যথায় ওয়েবসাইটে বা এর মাধ্যমে প্রদান করে; যে, বিষয়বস্তু বা উপাদান ওয়েবসাইটে জমা দেওয়ার তারিখে: (i) বিষয়বস্তু এবং উপাদান সঠিক; (ii) বিষয়বস্তু এবং উপাদানের ব্যবহার কোনো প্রযোজ্য ভারতীয় আইন বা ওয়েবসাইটের নীতি বা নির্দেশিকা বা অতিরিক্ত শর্তাবলী লঙ্ঘন করে না (iii) বিষয়বস্তু এবং উপাদান এই শর্তাবলী এবং গোপনীয়তা নীতি লঙ্ঘন করে না।
IX. তৃতীয় পক্ষের ওয়েবসাইট

ওয়েবসাইটটিতে অন্যান্য ওয়েবসাইটের লিঙ্ক থাকতে পারে এবং ওয়েবসাইটটি এই ধরনের ওয়েবসাইটগুলির ব্যবহারের শর্তাবলী বা বিষয়বস্তুর জন্য কোনওভাবেই দায়ী নয় এবং এই ওয়েবসাইটগুলির সামগ্রী এবং ব্যবহারের সাথে যুক্ত সমস্ত দায় স্পষ্টভাবে অস্বীকার করে৷ লিঙ্কযুক্ত ওয়েবসাইটগুলি SodaiMart-এর নিয়ন্ত্রণে নেই এবং ব্যবহারকারীদের প্রতিটি লিঙ্কযুক্ত ওয়েবসাইটের ব্যবহারের শর্তাবলী এবং গোপনীয়তা নীতি পড়তে উত্সাহিত করা হয়। ব্যবহারকারীরা যদি ওয়েবসাইটের সাথে লিঙ্ক করা তৃতীয়-পক্ষের ওয়েবসাইটগুলির মধ্যে কোনটি অ্যাক্সেস করার সিদ্ধান্ত নেন, তাহলে এই ধরনের লিঙ্কযুক্ত ওয়েবসাইটগুলি অ্যাক্সেস করা এবং ব্যবহার করা ব্যবহারকারীদের ঝুঁকির মধ্যে রয়েছে এবং SodaiMart কোনভাবেই দায়ী থাকবে না।

X. বৌদ্ধিক সম্পত্তির অধিকার

ওয়েবসাইটে অন্তর্ভুক্ত সমস্ত বিষয়বস্তু যেমন টেক্সট, গ্রাফিক্স, লোগো, বোতাম আইকন, ছবি, অডিও ক্লিপ, ডিজিটাল ডাউনলোড, ডেটা সংকলন এবং সফ্টওয়্যার, সোডাইমার্ট এর সহযোগী, সহযোগী বা এর সামগ্রী সরবরাহকারীদের সম্পত্তি এবং বাংলাদেশ দ্বারা সুরক্ষিত এবং আন্তর্জাতিক কপিরাইট, লেখকের অধিকার এবং ডাটাবেস অধিকার আইন। ওয়েবসাইটের সমস্ত বিষয়বস্তুর সংকলন SodaiMart এর সহযোগী, সহযোগী বা এর সামগ্রী সরবরাহকারীদের একচেটিয়া সম্পত্তি এবং এটি বাংলাদেশের আইন এবং আন্তর্জাতিক কপিরাইট এবং ডাটাবেস অধিকার আইন দ্বারা সুরক্ষিত। এই ওয়েবসাইটে ব্যবহৃত সমস্ত সফ্টওয়্যার SodaiMart, এর সহযোগী, সহযোগী বা এর সফ্টওয়্যার সরবরাহকারীদের সম্পত্তি এবং বাংলাদেশের আইন এবং আন্তর্জাতিক কপিরাইট লেখক অধিকার এবং ডাটাবেস আইন দ্বারা সুরক্ষিত।

ব্যবহারকারীরা সম্মত হন যে তারা ওয়েবসাইট বা SodaiMart-এর মালিকানাধীন ওয়েবসাইটের সাথে ব্যবহৃত চিহ্ন বা ডোমেন নামের অনুরূপ কোনো চিহ্ন বা ডোমেন নাম নিবন্ধনের জন্য ব্যবহার বা আবেদন করবেন না।

কোন ব্যবহারকারী ব্যবহার, অনুলিপি, পুনরুত্পাদন, পরিবর্তন, পরিবর্তন, পরিবর্তন, সংশোধন, প্রেরণ, সম্প্রচার, সম্পাদনা, সংশোধন, পর্যালোচনা, অভিযোজন, অনুবাদ, বিতরণ, সঞ্চালন, প্রদর্শন, বিক্রয় বা অন্যথায় বিষয়বস্তু বা মেধা সম্পত্তি অধিকারের সাথে ডিল করতে পারবে না। SodaiMart থেকে অনুমোদন ছাড়াই এখন পরিচিত বা ভবিষ্যতে বিকশিত যে কোনও মোড মাধ্যম বা পদ্ধতিতে ওয়েবসাইট বা বিষয়বস্তু সরবরাহকারী বা তৃতীয় পক্ষ এবং এই ধরনের কোনও ঘটনা ঘটলে SodaiMart কোনো পক্ষপাত ছাড়াই এই ধরনের ব্যবহারকারীর কাছে ওয়েবসাইট পরিষেবাগুলি অবিলম্বে বন্ধ করার অধিকার সংরক্ষণ করে SodaiMart-এর আইনি উদ্যোগ নেওয়ার অধিকার। এই ধরনের ব্যবহারকারীর বিরুদ্ধে ব্যবস্থা।

সোডাইমার্ট বা বিষয়বস্তু সরবরাহকারী বা তৃতীয় পক্ষের মালিকানাধীন বিষয়বস্তু বা বৌদ্ধিক সম্পত্তির অধিকারকে বেআইনিভাবে এবং বেআইনিভাবে শোষণ করার জন্য ওয়েবসাইটের কোনো বিষয়বস্তু বা বৌদ্ধিক সম্পত্তি ঘেরাও করার জন্য ব্যবহারকারীদের ফ্রেমিং বা ফ্রেমিং কৌশল ব্যবহার করা কঠোরভাবে নিষিদ্ধ।

XII. নোটিশ পদ্ধতি

যদি কোনো ব্যবহারকারী বিশ্বাস করেন যে ওয়েবসাইটে কোনো আপত্তিকর বিষয়বস্তু হোস্ট করা হয়েছে বা ব্যবহারকারীর অধিকার লঙ্ঘন করা হচ্ছে, ব্যবহারকারীরা অবিলম্বে নীচে উল্লিখিত ওয়েবসাইটের নোটিশ পদ্ধতি অনুসরণ করে অভিযোগ কর্মকর্তাকে অবহিত করবেন। ওয়েবসাইট তদন্তের পর যত তাড়াতাড়ি সম্ভব এই ধরনের বিষয়বস্তু অপসারণ করার চেষ্টা করবে।

ব্যবহারকারীর দ্বারা কোনো অসত্য বা মিথ্যা তথ্য বা অভিযোগ করা যাবে না এবং যদি কোনো ব্যবহারকারীকে বিজ্ঞপ্তির পদ্ধতির অপব্যবহার করতে দেখা যায়, তাহলে ওয়েবসাইট এই ধরনের ব্যবহারকারীর অ্যাকাউন্ট বন্ধ করার অধিকার সংরক্ষণ করে এবং ব্যবহারকারীর বিরুদ্ধে যথাযথ আইনি ব্যবস্থা গ্রহণ করবে।

ব্যবহারকারী স্পষ্টভাবে সম্মত হন যে ওয়েবসাইটের ব্যবহার ব্যবহারকারীর একমাত্র ঝুঁকিতে রয়েছে। ওয়েবসাইট এবং অন্যান্য ব্যবহারকারীদের দ্বারা আপলোড করা বা সরবরাহ করা বা ভাগ করা বিষয়বস্তু ব্যবহারকারীর কাছে "যেমন আছে" ভিত্তিতে এবং "যেমন উপলভ্য ভিত্তিতে" ওয়েবসাইটের মাধ্যমে ব্যবহারকারীর কাছে উপলব্ধ করা হয় কোনো ধরনের, প্রকাশ্য, অন্তর্নিহিত, সংবিধিবদ্ধ বা অন্য কোনো ধরনের ওয়ারেন্টি ছাড়াই, শিরোনামের অন্তর্নিহিত ওয়ারেন্টি, অ লঙ্ঘন, উপযুক্ততা, নির্ভুলতা, নির্ভরযোগ্যতা, সম্পূর্ণতা, সময়োপযোগীতা, কর্মক্ষমতা, নিরাপত্তা, ব্যবসায়িকতা বা একটি নির্দিষ্ট উদ্দেশ্যে উপযুক্ততা বা প্রযোজ্য বাংলাদেশীদের দ্বারা অনুমোদিত পরিমাণে তালিকাভুক্ত বা প্রদর্শিত বা লেনদেন করা পণ্যগুলির বৈধতা সহ আইন এবং SodaiMart কোনো ত্রুটি বা ভুলের জন্য কোনো দায় স্বীকার করে না।

SodaiMart বিক্রেতাদের কোনো ক্রিয়া বা নিষ্ক্রিয়তা বা পণ্যের বিক্রেতা বা প্রস্তুতকারকদের দ্বারা শর্ত, উপস্থাপনা বা ওয়ারেন্টি লঙ্ঘনের জন্য দায়বদ্ধ বা দায়ী থাকবে না এবং সেই বিষয়ে যে কোনও এবং সমস্ত দায়িত্ব এবং দায়বদ্ধতা স্পষ্টভাবে অস্বীকার করবে। SodaiMart ব্যবহারকারী এবং পণ্যের বিক্রেতা বা নির্মাতাদের মধ্যে কোনো বিরোধ বা মতানৈক্যের মধ্যস্থতা বা সমাধান করবে না।

SodaiMart ওয়েবসাইটের মাধ্যমে শুধুমাত্র একটি প্ল্যাটফর্ম প্রদান করে যা ব্যবহারকারীরা একে অপরের সাথে যোগাযোগ এবং লেনদেনের জন্য ব্যবহার করে এবং SodaiMart ওয়েবসাইটে প্রদর্শিত কোনো পণ্য বা কোনো ব্যবহারকারীর দ্বারা আপলোড করা মতামত বা তথ্যকে সমর্থন করে না। কোনো ঘটনাতেই SodaiMart ওয়েবসাইটের মাধ্যমে উপলব্ধ কোনো তথ্য, বিষয়বস্তু, উপকরণ, পণ্য বা পরিষেবার জন্য দায়ী থাকবে না।

ওয়েবসাইটের মাধ্যমে ব্যবহারকারীদের দ্বারা লেনদেন করা পণ্যগুলির অধিকার, শিরোনাম, আগ্রহ এবং মালিকানা SodaiMart-এর কাছে এই জাতীয় পণ্যগুলির উপর কোনও অধিকার, শিরোনাম বা মালিকানা থাকে না। ওয়েবসাইটের মাধ্যমে পণ্যের অফার এবং গ্রহণযোগ্যতা ব্যবহারকারীর একমাত্র ঝুঁকির মধ্যে রয়েছে এবং SodaiMart  ওয়েবসাইটের মাধ্যমে ব্যবহারকারীদের দ্বারা প্রস্তাবিত বা গ্রহণযোগ্য কোনো পণ্যের কোনো ত্রুটি বা বাদ বা ত্রুটি বা ঘাটতির জন্য কোনো দায় স্বীকার করে না।

SodaiMart এতদ্বারা পণ্যটির সমাপ্তি এবং চেহারা সম্পর্কে সঠিকতার কোনো গ্যারান্টি অস্বীকার করে যেভাবে ব্যবহারকারীর অর্ডার দেওয়া হয়েছে এবং বিতরণ করা হয়েছে। ওয়েবসাইটের মাধ্যমে ব্যবহারকারীর দ্বারা কেনা বা প্রাপ্ত কোনো পণ্য, তথ্য বা অন্যান্য উপাদানের গুণমান বা পরিমাণ ব্যবহারকারীর প্রত্যাশা পূরণ করতে পারে না।

ওয়েবসাইটটি তৃতীয় পক্ষের ওয়েবসাইটগুলির সাথেও লিঙ্ক করা যেতে পারে এবং SodaiMart এই ওয়েবসাইটগুলির ব্যবহার থেকে প্রাপ্ত ফলাফলের জন্য কোন দায়িত্ব গ্রহণ করে না।

SodaiMart ওয়েবসাইটটি বাগ-মুক্ত এবং ব্যবহারকারী বান্ধব বা ওয়েবসাইটের ব্যবহারের নিরাপত্তার বিষয়ে কোনো নিশ্চয়তা দেয় না। SodaiMart সহ অধিভুক্ত, সহযোগী এবং তাদের নিজ নিজ মালিক, পরিচালক, কর্মকর্তা, এজেন্ট, শেয়ারহোল্ডার এবং অংশীদাররা ভাইরাস আক্রমণ বা বাগ বা অন্যান্য সফ্টওয়্যার বা অন্যান্য সফ্টওয়্যারের কারণে ব্যবহারকারীদের দ্বারা সৃষ্ট ক্ষতি বা ক্ষতির বিষয়ে কোনোভাবেই দায়ী থাকবে না। ওয়েবসাইট ব্যবহার বা অ্যাক্সেস করার সময় উপস্থিত বা এমবেড করা হতে পারে যে প্রোগ্রাম.
SodaiMart গ্যারান্টি দেয় না যে ওয়েবসাইটের মাধ্যমে প্রদত্ত পরিষেবাগুলি বাধা বা ত্রুটি ছাড়াই কাজ করবে। বিশেষ করে রক্ষণাবেক্ষণ, আপডেট, বা সিস্টেমের ব্যর্থতা, ভাইরাস আক্রমণ, বাগ বা অন্য কোনো প্রযুক্তিগত কারণে বা অন্য কোনো কারণে পরিষেবার অপারেশন ব্যাহত হতে পারে। ওয়েবসাইট এই ধরনের কোনো বাধা বা কার্যকারিতা ত্রুটির কারণে ক্ষতি বা ক্ষতির জন্য সমস্ত দায় অস্বীকার করে। SodaiMart অনুপযুক্ত সরঞ্জাম, ইন্টারনেট পরিষেবা সম্পর্কিত ঝামেলা, সময় কম বা অন্য কোন কারণে ওয়েবসাইটের অ্যাক্সেসের কোনও ত্রুটিপূর্ণ অসম্ভবতা বা খারাপ ব্যবহারের শর্তগুলির জন্য সমস্ত দায় অস্বীকার করে।

প্রযোজ্য আইন দ্বারা অনুমোদিত সর্বাধিক পরিমাণে, মেধা সম্পত্তি অধিকার, মানহানি, গোপনীয়তা, প্রচার, অশ্লীলতা বা অন্যান্য আইনের অধীনে উদ্ভূত ব্যবহারকারীর সামগ্রীর সাথে SodaiMart-এর কোনো দায় থাকবে না। SodaiMart কোনো ব্যবহারকারীর সামগ্রীর অপব্যবহার, ক্ষতি, পরিবর্তন বা অনুপলব্ধতার বিষয়ে সমস্ত দায় অস্বীকার করে। ব্যবহারকারী যখন কোনো ধরনের তথ্য মুছে ফেলেন তখন ব্যবহারকারীকে অবশ্যই বুঝতে হবে যে সরানো সামগ্রী ব্যাকআপ কপিতে চলতে পারে।

SodaiMart ওয়েবসাইট বা কোনো পরিষেবা বা উপকরণের সাথে ব্যবহারকারীর অজান্তেই বা ব্যবহারকারীর অজান্তে ব্যবহারকারীর অ্যাকাউন্ট বা অ্যাকাউন্টের তথ্যের অননুমোদিত ব্যবহারের ফলে ব্যবহারকারীর যে ক্ষতি হতে পারে তার জন্য SodaiMart দায়ী থাকবে না। SodaiMart কোনো তৃতীয় পক্ষের পণ্যের জন্য দায়ী থাকবে না, তৃতীয় পক্ষের ওয়েবসাইটের বিষয়ে ই-মেইল বা ওয়েবসাইটে উপলব্ধ বিজ্ঞাপন বা পণ্য এবং পরিষেবাগুলি শুধুমাত্র তথ্যের উদ্দেশ্যে।

XIV. দায়বদ্ধতা সীমাবদ্ধতা

SodaiMart কোনো ক্ষেত্রেই সহকারী, সহযোগী এবং তাদের নিজ নিজ মালিক, পরিচালক, কর্মকর্তা, এজেন্ট, শেয়ারহোল্ডার এবং অংশীদাররা সীমাবদ্ধতা ছাড়াই প্রত্যক্ষ, পরোক্ষ, শাস্তিমূলক, আনুষঙ্গিক এবং ফলস্বরূপ ক্ষতি, হারানো লাভ বা ক্ষতি সহ যেকোনো ক্ষতি বা ক্ষতির জন্য দায়ী থাকবে না। ওয়্যারেন্টি, চুক্তি, টর্ট বা অন্য কোনো উপায়ে বা কর্মের ভিত্তিতে ওয়েবসাইট ব্যবহার বা অক্ষমতার ফলে।

কোনো পক্ষপাত ছাড়াই, এটি ব্যবহারকারীর দ্বারা সম্মত হয় যে SodaiMart সহ অনুমোদিত, সহযোগী এবং তাদের নিজ নিজ মালিক, পরিচালক, কর্মকর্তা, এজেন্ট, শেয়ারহোল্ডার এবং অংশীদারদের 1,000/- টাকার বেশি কোনো ক্ষতি বা দাবির জন্য সমষ্টিগতভাবে দায়ী করা হবে না (এক টাকা হাজার) বা ব্যবহারকারীর দ্বারা করা শেষ অর্থ প্রদান; যেটি কম, প্রযোজ্য আইন সাপেক্ষে।
XV. ক্ষতিপূরণ

ব্যবহারকারীরা ক্ষতিপূরণ দিতে সম্মত হন SodaiMart সহ অধিভুক্ত, সহযোগী এবং তাদের নিজ নিজ মালিক, পরিচালক, কর্মকর্তা, এজেন্ট, শেয়ারহোল্ডার এবং অংশীদারদের থেকে এবং তার বিরুদ্ধে সমস্ত ক্রিয়া, কার্যক্রম, দাবি, ক্ষতি, ক্ষতি এবং খরচ (অ্যাটর্নি ফি সহ) এবং ক্ষতিগ্রস্থ অন্যান্য খরচ সহ বা (i) কোনো প্রযোজ্য আইন লঙ্ঘন (ii) ব্যবহারকারীর কোনো উপস্থাপনা, ওয়ারেন্টি বা চুক্তির লঙ্ঘন (iii) SodaiMart-এর পরিষেবার নীতি, নির্দেশিকা এবং শর্তাবলী বা অতিরিক্ত শর্তাবলী লঙ্ঘন করার কারণে বা দায়ী করা হয়েছে অথবা এই শর্তাবলী বা গোপনীয়তা নীতি (কোনও পরিবর্তন বা অতিরিক্ত বিজ্ঞপ্তি বা নির্দেশাবলী সহ); (iv) কোনো তৃতীয় পক্ষের অধিকার লঙ্ঘন। এই ধারা এই শর্তাবলীর সমাপ্তি থেকে বেঁচে থাকে

XVI. সমাপ্তি

SodaiMart কোনো প্রযোজ্য আইন, নীতি, নির্দেশিকা এবং SodaiMart-এর পরিষেবার শর্তাবলী বা অতিরিক্ত শর্তাবলী বা এই শর্তাবলীর লঙ্ঘন সহ কিন্তু সীমাবদ্ধ নয় এমন কোনো ব্যবহারকারীর দ্বারা প্রতিশ্রুতিবদ্ধ কোনো পূর্ব বিজ্ঞপ্তি ছাড়াই কোনো ব্যবহারকারীকে প্রদত্ত পরিষেবাগুলি বন্ধ করার অধিকার সংরক্ষণ করে। অথবা গোপনীয়তা নীতি (কোনও পরিবর্তন বা অতিরিক্ত বিজ্ঞপ্তি বা নির্দেশাবলী সহ)। এই ধরনের সমাপ্তিতে, ব্যবহারকারীর তথ্য এবং অন্যান্য বিবরণ ওয়েবসাইট দ্বারা কালো তালিকাভুক্ত করা হবে এবং যখনই প্রয়োজন হবে বিবেচনা করা হবে।

ব্যবহারকারীর অ্যাকাউন্ট বন্ধ করার পরে, ব্যবহারকারী ওয়েবসাইটের মাধ্যমে পণ্য ক্রয় বা বিক্রি করার যোগ্য নয়। ব্যবহারকারীর অ্যাকাউন্ট যেকোন কারণে বন্ধ হয়ে গেলে, ব্যবহারকারীর ওয়েবসাইটে পোস্ট করা বিষয়বস্তু, পর্যালোচনা, মন্তব্য বা অন্যান্য উপাদান SodaiMart দ্বারা সরিয়ে দেওয়া হবে।

XVII. বিবিধ

বিচ্ছেদযোগ্যতা:

এই শর্তাবলীর প্রতিটি বিধান বিচ্ছেদযোগ্য এবং অন্যদের থেকে আলাদা এবং যদি কোনো ক্যাপশনের সময়ে এক বা একাধিক এই ধরনের বিধান অবৈধ, অবৈধ বা অপ্রয়োগযোগ্য হয়ে যায়, তাহলে এই শর্তাবলীর অবশিষ্ট বিধানগুলির বৈধতা, বৈধতা এবং প্রয়োগযোগ্যতা কোনোভাবেই হবে না উপায় প্রভাবিত বা প্রতিবন্ধী যার ফলে.

যদি এই শর্তাবলীর কোন বিধান অবৈধ, অবৈধ, বা বর্তমান বা ভবিষ্যতে প্রযোজ্য ভারতীয় আইনের অধীনে অপ্রয়োগযোগ্য বলে ধরা হয়, (i) এই ধরনের বিধান সম্পূর্ণরূপে ব্যবচ্ছেদযোগ্য হবে; (ii) এই শর্তাদি এমনভাবে বোঝানো হবে এবং বলবৎ করা হবে যেন এই ধরনের বেআইনি, অবৈধ, বা অপ্রয়োগযোগ্য বিধান কখনও এর একটি অংশ অন্তর্ভুক্ত করেনি; (iii) এই শর্তাবলীর অবশিষ্ট বিধানগুলি পূর্ণ বল এবং কার্যকর থাকবে এবং অবৈধ, অবৈধ, বা অপ্রয়োগযোগ্য বিধান দ্বারা বা এখান থেকে এর বিচ্ছেদ দ্বারা প্রভাবিত হবে না; এবং (iv) এই ধরনের বেআইনি, অবৈধ, বা অপ্রয়োগযোগ্য বিধানের পরিবর্তে, SodaiMar দ্বারা যতটা সম্ভব একটি আইনি, বৈধ এবং প্রয়োগযোগ্য বিধান যোগ করা হবে।

এই শর্তাবলী QwikCilver Solutions Private Limited ("QwikCilver") দ্বারা জারি করা SodaiMart উপহার কার্ডগুলিতে ("গিফট কার্ড") প্রযোজ্য। QwikCilver বাংলাদেশের আইনের অধীনে সংগঠিত একটি প্রাইভেট লিমিটেড কোম্পানি, এবং গিফটকার্ড প্রদানকারী। একটি উপহার কার্ড ক্রয় বা ব্যবহার করে, আপনি সম্মত হন এবং এই শর্তাবলী মেনে নিচ্ছেন।

মুক্তি:

এই শর্তাবলী বাংলাদেশের আইন অনুসারে পরিচালিত হয়। আপনি, MARTCilver এবং SodaiMart প্রত্যেকে ঢাকার আদালতের একচেটিয়া এখতিয়ারে জমা দিতে সম্মত হন। আপনি MARTCilver এবং SodaiMart এর বিরুদ্ধে তৃতীয় পক্ষের দ্বারা আনা সমস্ত দাবির জন্য ক্ষতিপূরণ দিতে সম্মত হন বা এই শর্তাবলীর যেকোনও লঙ্ঘনের কারণে বা তার সাথে সম্পর্কিত।
দায়বদ্ধতা সীমাবদ্ধতা:

SodaiMart বা Tata CLiQ কোনো ওয়্যারেন্টি দেয় না, প্রকাশ বা উহ্য, গিফট কার্ডের ক্ষেত্রে, সীমাবদ্ধতা ছাড়াই, কোনো প্রকাশ্য বা উহ্য ওয়্যারেন্টি প্রদান করে না। যদি একটি উপহার কার্ড অকার্যকর হয়, আপনার একমাত্র প্রতিকার হবে এই ধরনের উপহার কার্ডের প্রতিস্থাপন। যদি প্রযোজ্য আইন উহ্য ওয়্যারেন্টিতে সীমাবদ্ধতার অনুমতি না দেয় বা নির্দিষ্ট কিছু ক্ষতি, কিছু বা সমস্ত উপরোক্ত অস্বীকৃতি, বর্জন, বা সীমাবদ্ধতা, সীমাবদ্ধতার বর্জন বা সীমাবদ্ধতার অনুমতি না দেয় ন্যাশনাল রাইটস।

GENERAL TERMS OF USE OF WEBSITE

These Website (“Terms“) are published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011. These Terms are an ‘electronic record’ as contemplated under section 2(t) of the Information Technology Act, 2000 and the Rules thereunder. I. INTRODUCTION

The website www.sodaimart.com ("SodaiMart") is operated by SALEHIN INTERNATIONAL  a company incorporated under the Companies Act, 2011 ("SodaiMart") having its registered office at. House :22/35, Konapara Road: Shoid Oli road, Mandibari, Jatrabari Dhaka-1362 Use of the Website and its services is governed by these Terms of Use (“Terms”).

By using the Website, users signify they have carefully read, understood and agree to be bound by these Terms. When users transact or browse through the Website or avail any service provided by the Website, in present or future, users accept and agree to be bound by these Terms, policies, guidelines and conditions of SodaiMart’s service.

These Terms could be changed, altered, edited, amended, modified, reviewed, revised or substituted by SodaiMart at any time with or without prior notice and users are requested to read the Terms before using or accessing the Website.

II. PLATFORM SERVICES

The Website is a platform that users utilize to communicate and transact with one another. SodaiMart is not and cannot be a party to or control in any manner any transaction between users of the Website. The purchase of products or services on the Website are governed by the terms and condition of sale.

The Website is only a platform that can be used by users to reach a larger base to buy and sell products. SodaiMart is only providing a platform for communication and the contract for sale of the products shall be a strictly bipartite contract between the buyer and the seller. At no time shall SodaiMart hold any right, title or interest over the products or have any obligations or liabilities in respect of such bipartite contract entered into between the buyer and seller.

Users may upload and display the images and information of their products offered for sale on the Website’s online platform. Such display of the user’s products or related information on the Website in no manner can be treated or construed as an endorsement or advertisement of such products by SodaiMart.

Provision of a specific service through the online platform of the Website will be subject to users agreeing and consenting to certain additional terms, rules, policies, procedures, guidelines, disclaimers, notices or otherwise, if any, as applicable to such service (“Additional Terms“) and if there is any conflict between the Terms of Use and the Additional Terms, the Additional Terms shall take precedence in relation to that specific service.

III. ELIGIBILITY

The user should have completed 18 years of age and be competent to enter into a contract under Bangladesh contract law. Any user under 18 years of age who is intending to avail the services of the Website should do so through his or her legal guardian in accordance with applicable law.

If any person is using the Website on behalf of any corporation, company, institution, association or other entity, the person should be authorized by such corporation, company, institution, association or other entity to use and access the Website.

SodaiMart reserves the right to refuse access to use the services offered at the Website to new users or to terminate access granted to existing users at any time without according any reasons for doing so.

IV. USER ACCOUNT

The user may browse the Website without registering with SodaiMart. The user has to set up an account with the Website before availing any online services provided through the Website. The user can create an account by entering an email address and password or by using any permitted social media website account to sign in ("Account Information"). The email address provided is not verified by SodaiMart and hence, it is advisable for the user to provide a valid email address. The Website will set-up an account and email the details of the account to the user at the email address provided. A user can then access the account on the Website. A user can also create and update an account through Customer Support

A user can create one user account only and no user is permitted to transfer or interchange the User Account. The list of user information required to be provided by the user, the manner of usage, protection and confidentiality of user information and account information are more specifically dealt under the Website’s Privacy Policy and the users are requested to read in detail the Privacy Policy before sharing user information or creating an account.

V. USER JURISDICTION

SodaiMart disclaims all liabilities arising in relation to such Objectionable Content on the Website. The user represents and warrants that the user owns or otherwise controls all of the rights to the content and material that the user posts or that the user otherwise provides on or through the Website; that, as at the date that the content or material is submitted to the Website: (i) the content and material is accurate; (ii) use of the content and material does not breach any applicable Indian law or the Website’s policies or guidelines or Additional Terms (iii) the content and material do not breach these Terms and Privacy Policy.

No untrue or false information or allegation shall be made by the user and if any user is found misusing the notifying procedure, the Website reserves the right to terminate such user’s account and shall take appropriate legal action against the user.

Upon receipt of a notice, SodaiMart will take appropriate steps for removing the infringing or Objectionable Content all of which are taken without any admission as to liability and without prejudice to any rights, remedies or defenses, all of which are expressly reserved. SodaiMart shall also endeavour to forward a copy of the user’s notice to the alleged infringer or defaulter. Furthermore, in submitting a notice, the user grants to SodaiMart the right to use, reproduce, publish, and display its content throughout the world in any mode medium or manner now known or developed in future. This includes forwarding the notice to the parties involved in the provision of the allegedly infringing content. The User agrees to indemnify SodaiMart for all claims brought by a third party against SodaiMart arising out of or in connection with the submission of a notice. User further undertakes that the contents of the such notice are true and correct to the best of user’s knowledge and belief and undertake to subject to any legal action, civil and criminal, if proven otherwise.

It is repeated and reiterated that SodaiMart’s role and responsibility is completed on taking down the infringing or Objectionable Content as alleged in the notice and SodaiMart shall in no manner be liable for or in relation to the infringing or Objectionable Content. SodaiMart shall in no manner be involved in trying, contesting, mediating, negotiating or conciliating the dispute or differences between the user who notifies the objections and the user against whom the objections are raised.

Without prejudice, it is agreed by the user that SodaiMart including affiliates, associates and their respective owners, directors, officers, agents, shareholders and partners shall not be held cumulatively liable for any damages or claims in excess of BDT 1,000/- (Taka One Thousand) or the last payment made by the user; whichever is lesser, subject to applicable law.

XV. INDEMNITY

Users agree to indemnify and hold harmless SodaiMart including affiliates, associates and their respective owners, directors, officers, agents, shareholders and partners from and against all actions, proceedings, claims, losses, damages and costs (including attorney fees) and other expenses suffered or incurred due to or attributable to or arising out of (i) violation of any applicable law (ii) breach of any representations, warranties or covenants of the user (iii) breach of the policies, guidelines and conditions of SodaiMart's service or Additional Terms or these Terms or Privacy Policy (including any modifications or additional notifications or instructions); (iv) infringement of any third party rights. This Clause survives the termination of these Terms

XVI. TERMINATION

SodaiMart reserves the right to terminate the services provided to any user without prior notice in the event of any default committed by user including but not limited to the breach of any applicable law, policies, guidelines and conditions of SodaiMart’s service or Additional Terms or these Terms or the Privacy Policy (including any modifications or additional notifications or instructions). On such termination, the user’s information and other details shall be black listed by the Website and shall be taken into consideration whenever necessary.

SodaiMart will terminate the services provided to any user if it is required under any applicable law. Without prejudice, SodaiMart reserves its right to terminate the services if such provision of services to the users is not economically viable for SodaiMart. Users may choose to discontinue availing services and facilities provided through the Website by closing the user account with the Website.

On termination of the user account, the user is not eligible to purchase or sell products through the Website. Once the user’s account is terminated for any reason whatsoever, the contents, reviews, comments or other material posted on the Website by the user shall be removed by SodaiMart.

Post termination of the services provided to the user through the Website, the user’s personal information would reside in the Website’s database for a certain period of time. It is also clarified that certain terms and conditions of the policies, guidelines and conditions of SodaiMart's service or Additional Terms or these Terms and the Privacy Policy continue to be binding on the user and if any user by default or otherwise is found using or dealing with the Website post termination of the service provided through the Website, the user shall be prosecuted by SodaiMart. The user shall be also liable to compensate SodaiMart for any unauthorized use of the Website.

XVII. MISCELLANEOUS

Severability:

Each of the provisions in these Terms are severable and distinct from the others and if at any Captionstime one or more such provisions is or becomes invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions of these Terms shall not in any way be affected or impaired thereby.

Captions:

Partial Invalidity:

If any provision of these Terms is held to be illegal, invalid, or unenforceable under any present or future applicable Indian law, (i) such provision will be fully severable; (ii) these Terms will be construed and enforced as if such illegal, invalid, or unenforceable provision had never comprised a part hereof; (iii) the remaining provisions of these Terms will remain in full force and effect and will not be affected by the illegal, invalid, or unenforceable provision or by its severance here from; and (iv) in lieu of such illegal, invalid, or unenforceable provision, there will be added by SodaiMar a legal, valid, and enforceable provision to the extent possible.

Notices:

For purposes of service messages and notices about the services to user, the Website may place a banner notice across its pages to alert the user to certain changes such as modifications to these Terms. Alternatively, notice may consist of an email from the Website to the user. The user agrees that the Website may communicate with user through the user’s account or through other means including email or mobile. XIX. GIFT CARD: TERMS AND CONDITIONS

These terms and conditions apply to SodaiMart Gift Cards ("Gift Cards") issued by QwikCilver Solutions Private Limited ("QwikCilver"). QwikCilver is a private limited company organized under the laws of Bangladesh, and is the issuer of Giftcards. By purchasing or using a Gift Card, you are agreeing to and accept these terms and conditions.

Redemption:

Gift Cards may only be redeemed toward the purchase of eligible products on www.sodaimart.com. Purchases are deducted from the redeemer's MART Cash balance. Any unused MART cash balance will remain associated with the redeemer's sodaimart.com account and applied to purchases in order of earliest expiration date. If a purchase exceeds the redeemer's MART Cash balance, the remaining amount must be paid with by credit card, net banking or debit card. No fees or charges apply to Gift Cards. MARTCilver may provide Gift Card purchasers with information about the redemption status of Gift Cards that they purchase or use.

Gift Cards, including any unused Gift Card balances, expire one year from the date of issuance. Gift Cards may only be purchased in denominations ranging fromBDT. 10 to BDT. 10,000, or such other limits as MARTCilver may determine. GiftCards cannot be used to purchase other gift cards. Gift Cards cannot be reloaded, resold, transferred for value or redeemed for cash. Fraud:

Governing Law and Jurisdiction:

These terms and conditions are governed by and construed in accordance with the laws of Bangladesh. You, MARTCilver and SodaiMart each agree to submit to the exclusive jurisdiction of the courts at Dhaka. You agree to indemnify MARTCilver and SodaiMart for all claims brought by a third party against it or its affiliates arising out of or in connection with a breach of any of these terms and conditions.

Limitation of Liability:

NEITHER SodaiMart NOR Tata CLiQ MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO GIFT CARDS, INCLUDING WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN THE EVENT A GIFT CARD IS NON-FUNCTIONAL, YOUR SOLE REMEDY WILL BE THE REPLACEMENT OF SUCH GIFT CARD. IF APPLICABLE LAW DOES NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
